MASTER TERMS AND CONDITIONS

1. INTRODUCTION

Welcome to Nice G.O.C (Nice Global Outstanding Conglomerate Limited) ("Nice G.O.C", "we", "us", "our" or "the Company").

Nice G.O.C operates a technology-enabled platform designed to connect individuals, businesses, service providers, vendors, agents, students, professionals, advertisers and other participants with services, opportunities, information and digital tools.

These Terms and Conditions ("Terms") govern your access to and use of the Nice G.O.C platform, website, WhatsApp services, applications, portals, connected services, digital tools and other services operated or made available by Nice G.O.C (collectively, the "Platform").

By creating an account, accessing the Platform, using any Nice G.O.C service, making a payment, submitting information, applying for an agent or representative position, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms and our applicable Privacy Policy and other applicable service-specific terms.

If you do not agree with these Terms, you should discontinue use of the Platform.

2. ABOUT NICE G.O.C

Nice G.O.C provides technology-enabled services and infrastructure intended to connect people, businesses, communities and opportunities.

Depending on availability and applicable service terms, the Platform may include:

• Market and vendor services

• Professional and general services

• Transportation and mobility information

• Property and real-estate listings

• Logistics and delivery services

• Agriculture-related services

• Schools and campus services

• Skills and training opportunities

• Technology and ICT services

• News and media services

• Energy-related services

• Advertising and promotional services

• Business registration and business-support services

• Employment and work opportunities

• Marketplace services

• Location search and mapping

• Higher-institution and campus information

• Student-support services

• Referral and commission programmes

• Digital communication services

• Other services introduced by Nice G.O.C from time to time

The availability of any particular service may vary by location, user category, service provider, subscription level or applicable regulations.

3. INDEPENDENT TECHNOLOGY PLATFORM

Nice G.O.C is an independent technology and service company.

The presence of a business, school, university, polytechnic, college, campus, department, community, market, property, transport operator or other organisation on the Platform does not, by itself, mean that such organisation has partnered with, endorsed, sponsored, authorised or appointed Nice G.O.C.

Where Nice G.O.C has a formal partnership, contractual relationship or other authorised arrangement with an organisation, the scope of that relationship shall be governed by the applicable written agreement.

Nice G.O.C does not, solely by operating the Platform, assume responsibility for the management, administration, academic affairs, employment affairs, financial affairs or internal operations of third-party organisations.

4. CAMPUS AND STUDENT SERVICES

Nice G.O.C may provide technology-enabled services and opportunities to students and members of higher-institution communities.

Campus services may include:

• Campus service discovery

• Student opportunities

• Business and entrepreneurship opportunities

• Skills and training opportunities

• Transportation information

• Accommodation and roommate-related services

• Marketplace services

• Technology services

• Advertising

• Remote work opportunities

• Referral programmes

• Campus representative programmes

• Course Representative programmes

• School Agent programmes

• Other student-support services

A user's participation in a Nice G.O.C campus programme does not, by itself, make that user an employee, officer, agent or official representative of the educational institution attended by the user.

A Nice G.O.C Course Representative, Nice G.O.C School Agent, Nice G.O.C Campus Agent or similar designation refers to a role within the Nice G.O.C Platform unless a separate written institutional agreement expressly provides otherwise.

Nice G.O.C does not represent that its campus representatives have authority to act on behalf of an educational institution.

The Platform does not replace or control admission, examinations, grading, academic records, academic calendars, disciplinary proceedings or other functions belonging to educational institutions.

5. SCHOOL AND CAMPUS INFORMATION

Nice G.O.C may organise educational institution information within its Platform, including:

• Institution name

• School or campus location

• Departments

• Faculties

• Programmes

• Academic levels

• Campus-related service information

• Other publicly available or user-submitted information

Such information may be used to organise Platform services and help users identify their educational environment.

A school or institution's appearance in the Platform does not constitute institutional endorsement or partnership unless expressly stated.

Nice G.O.C may verify, correct, update, restructure or remove information where reasonably necessary for Platform operations.

Users must not intentionally submit false school, department, level or student information.

6. USER ELIGIBILITY

Unless a particular service expressly provides otherwise, users must:

• Be at least 18 years old;

• Provide accurate information;

• Have access to a valid Nigerian mobile number where required;

• Complete applicable verification requirements;

• Comply with these Terms and applicable laws.

Some services may have additional eligibility requirements.

Nice G.O.C may refuse, suspend or restrict access where eligibility requirements are not satisfied.

7. ACCOUNT REGISTRATION

Users may be required to create an account before accessing certain services.

Registration information may include:

• Full name

• Telephone number

• Email address

• Location

• Referral information

• Student information where applicable

• Payment information where applicable

• Other information reasonably required to provide a service

Users are responsible for ensuring that registration information remains accurate.

Each user may be assigned a unique account or Referral ID.

Users must not:

• Create accounts for fraudulent purposes;

• Impersonate another person;

• Use another person's account without authorization;

• Provide false identity information;

• Circumvent Platform restrictions.

8. ACCOUNT SECURITY

Users are responsible for maintaining reasonable security over their account, phone, PIN, password, verification codes and other authentication information.

Users should immediately notify Nice G.O.C if they suspect:

• Unauthorized access;

• Account compromise;

• Fraud;

• Theft of authentication information; or

• Unauthorized transactions.

Nice G.O.C may temporarily restrict an account while investigating suspected fraud, abuse or security incidents.

9. SERVICES PROVIDED BY THIRD PARTIES

Some services available through Nice G.O.C may be provided by independent vendors, businesses, agents, drivers, property owners, advertisers, consultants, professionals or other third parties.

Where a third party provides the underlying product or service:

• The third party remains responsible for its own service obligations;

• Users should review relevant third-party information before completing a transaction;

• Nice G.O.C may facilitate discovery, communication, payment, booking, advertising or other Platform functions;

• Nice G.O.C does not automatically become the provider of every third-party service listed on the Platform.

Nothing in these Terms removes rights or remedies that consumers have under applicable Nigerian law.

10. MARKETPLACE AND VENDOR SERVICES

Vendors and service providers must provide accurate information concerning their goods or services.

Listings should accurately describe, where applicable:

• Product or service;

• Price;

• Availability;

• Location;

• Relevant conditions;

• Delivery information;

• Applicable restrictions.

Nice G.O.C may remove, suspend or restrict listings that appear fraudulent, misleading, unlawful, unsafe or materially inaccurate.

Nice G.O.C may require additional verification before permitting certain vendors or service providers to operate.

11. PROPERTY SERVICES

Property information is supplied by property owners, agents, landlords, developers or other third parties unless expressly identified as being supplied directly by Nice G.O.C.

Users should independently verify:

• Ownership;

• Availability;

• Location;

• Price;

• Documentation;

• Inspection conditions;

• Tenancy conditions;

• Other material information

before entering into a property transaction.

Nice G.O.C does not guarantee ownership, title, availability or legal status of third-party property unless expressly stated.

12. TRANSPORT AND LOGISTICS

Transport, delivery, waybill and mobility information may be supplied by independent operators or service providers.

Prices, schedules, availability, routes and service conditions may change.

Users must comply with applicable safety requirements and the rules of the relevant transport or logistics provider.

Nice G.O.C is not responsible for independent acts or omissions of third-party transport or logistics providers, subject always to applicable law.

13. PAYMENTS

Payments for Nice G.O.C services may be made through Paystack or other authorised payment providers.

Before completing a paid transaction, users should review the applicable:

• Service;

• Price;

• Subscription;

• Duration;

• Transaction charge;

• Cancellation conditions;

• Refund conditions; and

• Other material terms.

Nice G.O.C will endeavour to provide accurate pricing information.

Prices may change for future transactions or subscription periods.

Where applicable law requires notice, consent, cancellation, refund or other consumer protection, Nice G.O.C will comply with the applicable requirement.

14. REFUNDS, CANCELLATIONS AND REVERSALS

Refunds and cancellations depend on the nature of the transaction and applicable law.

Where a transaction is cancelled, reversed, not delivered, duplicated or otherwise qualifies for a refund under the applicable service terms or Nigerian law, Nice G.O.C will process the applicable remedy.

Certain services that have already been fully delivered may not be refundable where permitted by law and where the applicable condition was disclosed before payment.

Nothing in these Terms is intended to remove a consumer's mandatory statutory rights.

15. SUBSCRIPTIONS

Certain services may operate under monthly, annual, recurring or other subscription arrangements.

The applicable subscription page or service description will state:

• Subscription price;

• Subscription period;

• Included services;

• Renewal terms where applicable;

• Cancellation terms;

• Applicable limitations.

Nice G.O.C may modify future subscription plans or prices.

Where an existing paid subscription is materially affected, Nice G.O.C will provide any notice or remedy required by applicable law or the applicable service terms.

16. COMMISSIONS AND REFERRAL PROGRAMMES

Nice G.O.C may operate referral, agent, representative, commission or performance-based programmes.

Eligibility, qualifying activities, commission rates, payment conditions and withdrawal requirements may vary by programme.

A commission is earned only when the applicable qualifying conditions have been satisfied and verified.

Nice G.O.C may:

• Verify transactions;

• Reject fraudulent transactions;

• Reverse commissions generated through fraud or abuse;

• Adjust erroneous commission credits;

• Suspend commission accounts during investigations;

• Modify future commission structures.

Commission structures will not be interpreted as a guarantee of income, employment or profit.

Participation in a commission programme does not create an employment relationship unless expressly stated in a separate written employment agreement.

17. AGENTS, REPRESENTATIVES AND FIELD OPERATORS

Nice G.O.C may operate different categories of agents, representatives, controllers, coordinators and field operators.

Examples may include:

• State Agents;

• LGA Agents;

• Ward or Community Agents;

• School Agents;

• Campus Agents;

• Course Representatives;

• Market Agents;

• Property Agents;

• Service Agents;

• Other Platform representatives.

Roles are subject to Nice G.O.C's applicable verification, qualification, selection and approval procedures.

Where an agent is required to obtain separate government, professional, institutional or sector-specific authorization, the agent remains responsible for obtaining and maintaining that authorization.

A Nice G.O.C designation does not automatically confer government, institutional, professional or statutory authority.

18. STUDENT AND CAMPUS REPRESENTATIVE PROGRAMMES

Nice G.O.C may select students for campus-related roles based on criteria established for the relevant programme.

Selection criteria may include:

• Registration;

• Student status;

• Location;

• Department;

• Academic level;

• Recruitment activity;

• Qualifying transactions;

• Verified performance;

• Other published programme requirements.

Unless a separate written institutional arrangement exists, a Nice G.O.C campus role is an internal Platform role and is not an academic appointment.

19. ADVERTISING

Nice G.O.C may provide normal, premium, VIP or other advertising services.

Advertisers are responsible for ensuring that submitted advertisements:

• Are truthful;

• Are not misleading;

• Do not unlawfully infringe third-party rights;

• Comply with applicable law;

• Accurately describe the advertised product or service.

Nice G.O.C may reject, modify, suspend or remove advertisements that violate these Terms or applicable law.

Advertising performance is not guaranteed unless expressly stated in a specific written advertising agreement.

20. AI, AUTOMATION AND DIGITAL TOOLS

Nice G.O.C may use artificial intelligence, automated processing, search technologies, mapping technologies and other digital tools.

Automated outputs may contain errors.

Users should independently verify important information before relying upon automated results, particularly where the information could affect financial, legal, safety, property, employment or other significant decisions.

AI-generated or automated information does not constitute professional legal, medical, financial or other regulated professional advice unless expressly provided by an appropriately qualified professional through an authorised service.

21. LOCATION AND MAP SERVICES

Nice G.O.C may use mapping and location technologies to provide:

• Location search;

• Nearby services;

• Directions;

• Distance information;

• Service-provider discovery;

• Other location-related features.

Location access may be optional depending on the service.

Users are responsible for reviewing device permissions and location settings.

Map information may be supplied by third-party mapping providers and may not always be perfectly accurate or current.

22. USER-GENERATED CONTENT

Users may submit information, reviews, photographs, descriptions, advertisements, comments, service information or other content.

Users represent that they have the necessary rights to submit such content.

Users must not submit content that is:

• Fraudulent;

• Defamatory;

• Misleading;

• Illegal;

• Abusive;

• Infringing;

• Malicious;

• Threatening;

• Designed to facilitate fraud or wrongdoing.

Nice G.O.C may remove content that violates these Terms or applicable law.

23. REVIEWS AND RATINGS

Where Nice G.O.C permits reviews or ratings, users must provide honest and reasonably accurate feedback based on their genuine experience.

Users must not:

• Manufacture reviews;

• Buy or sell reviews;

• Manipulate ratings;

• Threaten businesses with negative reviews;

• Use reviews to harass individuals.

Nice G.O.C may investigate and remove fraudulent or abusive reviews.

24. COMMUNICATIONS

Nice G.O.C may communicate with users through:

• WhatsApp;

• SMS;

• Email;

• Telephone;

• Platform notifications;

• Other authorised communication channels.

Operational communications may include:

• Registration messages;

• OTP and verification messages;

• Transaction notifications;

• Payment notifications;

• Service updates;

• Application updates;

• Commission notifications;

• Security notifications;

• Customer support communications.

Marketing communications will be handled in accordance with applicable law and the user's applicable preferences.

Where Nice G.O.C facilitates communication between a user and a third party, the communication should not intentionally misrepresent the identity or purpose of the communication.

25. PRIVACY AND DATA PROTECTION

Nice G.O.C processes personal data in accordance with applicable Nigerian data-protection law and its Privacy Policy.

Depending on the service, information processed may include:

• Name;

• Telephone number;

• Email;

• Location;

• Account information;

• School and campus information;

• Department and academic level;

• Student or agent application information;

• Referral information;

• Transaction information;

• Wallet and commission information;

• Uploaded content;

• Device or technical information;

• Other information necessary for a particular service.

Nice G.O.C may process personal data for lawful purposes including:

• Providing requested services;

• Account administration;

• Identity or eligibility verification;

• Payments;

• Fraud prevention;

• Security;

• Customer support;

• Platform improvement;

• Service communications;

• Commission administration;

• Legal and regulatory compliance.

Where consent is required, Nice G.O.C will seek consent in the manner required by applicable law.

Users should read the Nice G.O.C Privacy Policy for additional information concerning data processing, rights, retention, disclosures and security.

26. THIRD-PARTY TECHNOLOGY PROVIDERS

Nice G.O.C may use third-party technology and service providers, including providers of:

• Payment processing;

• Messaging;

• Cloud infrastructure;

• Mapping;

• Artificial intelligence;

• Analytics;

• Security;

• Hosting;

• Other technology services.

Such providers may process information as necessary to provide the relevant service, subject to applicable contractual, technical and legal safeguards.

Examples may include Paystack, Meta and Google services where applicable.

27. DATA SECURITY

Nice G.O.C will implement reasonable technical and organisational measures appropriate to the nature of the personal data and services involved.

Users acknowledge that no internet-based system can be guaranteed to be completely secure.

Where a security incident occurs, Nice G.O.C will take appropriate steps required by applicable law and its internal incident-response procedures.

28. INTELLECTUAL PROPERTY

Unless otherwise stated, Nice G.O.C owns or has the right to use the Platform's:

• Software;

• Website;

• Branding;

• Logos;

• Designs;

• Databases;

• Text;

• Graphics;

• System architecture;

• Digital content;

• Other proprietary materials.

Users may not copy, reproduce, reverse engineer, distribute, sell, modify or commercially exploit Nice G.O.C proprietary materials without authorization, except where permitted by law.

29. PROHIBITED ACTIVITIES

Users must not use the Platform to:

• Commit fraud;

• Impersonate another person;

• Facilitate unlawful transactions;

• Harass or threaten others;

• Upload malicious software;

• Circumvent security controls;

• Manipulate commissions;

• Manipulate reviews;

• Create fraudulent accounts;

• Conduct unauthorized scraping;

• Misuse personal information;

• Send unlawful or deceptive communications;

• Interfere with Platform operations;

• Violate applicable law.

30. SUSPENSION AND TERMINATION

Nice G.O.C may suspend, restrict or terminate access where reasonably necessary because of:

• Fraud;

• Abuse;

• Security concerns;

• Material violation of these Terms;

• Unlawful activity;

• Repeated consumer complaints;

• Payment abuse;

• Commission manipulation;

• False information;

• Other serious Platform risks.

Where appropriate and lawful, Nice G.O.C may provide notice and an opportunity to resolve the issue.

Termination does not automatically extinguish rights or obligations that accrued before termination.

31. PLATFORM AVAILABILITY

Nice G.O.C aims to maintain reliable Platform availability but does not guarantee uninterrupted service.

The Platform may occasionally be unavailable because of:

• Maintenance;

• Upgrades;

• Security events;

• Internet or telecommunications failures;

• Third-party provider failures;

• Power or infrastructure problems;

• Events outside Nice G.O.C's reasonable control.

32. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links, integrations or references to third-party services.

Nice G.O.C does not automatically endorse third-party content merely because it is accessible through the Platform.

Users should review the relevant third party's terms and privacy practices before using third-party services.

33. CONSUMER PROTECTION

Nice G.O.C is committed to fair dealing, transparency and lawful consumer protection.

The Company will endeavour to:

• Provide material service information clearly;

• Display applicable prices before payment;

• Maintain appropriate transaction records;

• Provide reasonable customer support;

• Address complaints;

• Handle refunds and cancellations according to applicable terms and law;

• Avoid misleading or deceptive representations.

Nothing in these Terms is intended to waive, remove or unlawfully restrict any mandatory consumer right.

34. COMPLAINTS AND CUSTOMER SUPPORT

Users may submit complaints through the official Nice G.O.C customer-support channels.

A complaint may concern:

• Payment;

• Vendor conduct;

• Service delivery;

• Agent conduct;

• Account access;

• Advertising;

• Privacy;

• Fraud;

• Commission;

• Other Platform matters.

Nice G.O.C may request transaction references, screenshots, communication records or other reasonable information necessary to investigate.

Where a complaint concerns an independent third party, Nice G.O.C may investigate the Platform-related aspect while the third party remains responsible for its own legal obligations.

35. LIMITATION OF LIABILITY

Nice G.O.C will take reasonable measures to provide reliable services.

However, information supplied by independent vendors, users, agents, advertisers or other third parties may contain errors, and third-party services may experience interruptions.

To the extent permitted by applicable law, Nice G.O.C will not be responsible for losses caused solely by:

• Information supplied inaccurately by a third party;

• Independent misconduct of a third party;

• Telecommunications failures;

• Third-party payment or technology failures;

• Mapping inaccuracies;

• Events outside Nice G.O.C's reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

36. INDEMNITY

To the extent permitted by applicable law, a user may be responsible for losses, claims or reasonable costs arising from the user's unlawful conduct, fraud, intentional misuse of the Platform or material breach of these Terms.

Nothing in this provision requires a consumer to indemnify Nice G.O.C for liability that cannot lawfully be transferred to the consumer.

37. CHANGES TO THESE TERMS

Nice G.O.C may update these Terms from time to time to reflect:

• New services;

• Changes in technology;

• Regulatory requirements;

• Business changes;

• Security requirements;

• Consumer-protection requirements.

Material changes will be communicated through appropriate Platform channels where reasonably required.

Continued use of the Platform after an effective update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

38. GOVERNING LAW

These Terms are governed by the laws of the Federal Republic of Nigeria.

Nothing in these Terms prevents a consumer from exercising a mandatory statutory right or accessing a legally available regulatory or judicial remedy.

39. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

40. ENTIRE AGREEMENT

These Terms, together with the applicable Privacy Policy, service-specific terms, payment terms, commission rules, advertising terms and other policies expressly incorporated into the Platform, constitute the applicable agreement between Nice G.O.C and the user concerning use of the relevant Platform services.

Where a separate written agreement applies to a particular service or institutional relationship, that agreement shall govern the subject matter covered by it to the extent of any inconsistency.
